This research aims to know the influence of characteristics of the board of commissioners and characteristics of the board of directors towards the company performance. The object for this research is all public company that listed in Indonesia Stock Exchange from 2013 to 2017. This research using causal study to test the influence of independent variable to dependent variable. Thus, data analysis which is used is statistic analysis in the form of double linear regression test. The results showed that the characteristics the board of commissioners as the gender of the board of commissioners affect the company performance BUMN in Indonesia, while the size of the board of commissioners and the educational background of board of commissioners has no effect on the performance company. Board of directors characteristics such as the experience of the board of directors affect the company performance BUMN in Indonesia, while the size of board of directors and gender of the board of directors has no effect on the company performance. Keywords : characteristics of the board of commissioners, characteristics of the board of directors, company performance. Penelitian ini bertujuan untuk mengetahui pengaruh karakteristik dewan komisaris dan dewan direksi terhadap kinerja perusahaan. Objek penelitian ini adalah seluruh perusahaan BUMN yang terdaftar di Bursa Efek Indonesia tahun 2013-2017. Penelitian ini dilakukan dengan menggunakan metode penelitian kausal untuk menguji pengaruh variabel independen terhadap variabel dependen. Karena itu, analisis data yang digunakan adalah analisis stastitik dalam bentuk uji regresi linear berganda. Hasil penelitian ini menunjukkan bahwa karakteristik dewan komisaris yakni gender dewan komisaris berpengaruh terhadap kinerja perusahaan BUMN di Indonesia, sedangkan ukuran dewan komisaris dan latar belakang pendidikan dewan komisaris tidak berpengaruh terhadap kinerja perusahaan. Karakteristik dewan direksi yakni pengalaman kerja dewan direksi berpengaruh terhadap kinerja perusahaan BUMN di Indonesia, sedangkan ukuran dewan direksi dan gender dewan direksi tidak berpengaruh terhadap kinerja perusahaan. Kata kunci : karakteristik dewan komisaris, karakteristik dewan direksi, kinerja perusahaan.
