- Limited company is a tool to do entrepreneurship activity. When a limited company couldn’t be founded, there must be reasonable legal reasons, related with limited company registration to Ministry of Justice with Public Notary assistance. The writer has interest to reveal the registration procedure by limited company also reveal inhibiting factors of limited company registration to Ministry of Justice. In this research, the writer used socio-juridical approach. The location was on Niluh Elita Mahariani Notary Public Office. Data collected by the writer were primary and secondary data which were given explanation about primary law material. Data analysis was done by qualitative descriptive way. From the research there could be concluded that the procedure of Limited Company registration were fulfilling the primary data of limited company, preparing limited company official document, capital-securities arrangement, listing the destination of the company. Factor which caused the limited company was rejected was the lack of registration condition from Ministry of Justice, the similarity company name with another company. The effort which was done by Niluh Elita Mahariani Notary Public to conclude the problems was taking steps to change the name and re-registration the company. The writer suggested that the alternatives used to reveal the problems could be used by every public notary. While for Administration of Legal Officers (SISMINBAKUM), in order to help public notary in checking the company name, they should give database of registered limited company name regularly.
