- This research is aimed at identifying the effect of board governance and characteristics on company's performance, measured by return on assets and price earning ratio. The units of analysis are 13 LQ-45 companies registered on the Jakarta Stock Exchange for the period of 2002-2006. The study results are as follow: (t) consistent to the previous research, the study found that board size is positively related to company's performance, (2) CEO tenure increase company's performanee, but the study do not found a significant relationship, (3) cross directorship on the board is positively related with company's performance, (4) on average, cross directorship both board of director and board of commissioners more prevail in different industries.
