- Indonesia is a developing country with the main chaeacteristic of development in all fields. Direction and solution of the state can not be separated from the concept of development it designed. To build and realize a just and prosperous society based on Pancasila and the 1945 Constitution, it is necessary for large capital through the implementation of sustainable national economic development based on economic democracy to achieve the State’s objectives. One of effort that can be done is to attract as many foreign investors as possible to invest in Indonesia through economic development contracts. However, given the unclear arrangement of international civil law on international contracts made between countries and foreign private person, the Background of the Institute of International Law (ILA) as an international private organization issued a Resolution entitled The Proper Law of The Contract in Agreements Between A State and Foreign Private Person which contains the applicable Legal Rules for Contract Between a State and a Foreign Private Person. Writer using normative juridicial research methods. The data were collected using literature study and document studies to obtain secondary data sources of primary legal materials, secondary legal materials, and tertiary legal materials.
