- State-Owned Enterprises (BUMN) are the major player in the national economic development. Having a diverse array of business sectors, BUMN provide services needed by virtually the whole population. However, the services they provide are considered still far from optimal because they are not yet managed professionally. With the development/dynamics in the business competition, the goverment, trade, law, technology and company management which is based on the principles of good corporete governance, BUMN whose shares are dominantly and wholly owned by the country must continue to develop, grow, provide excellent services and more importantly make substantial contribution to the country in the form of taxes, dividends, community development and creation of jobs for the community. The government realizes that the past practices which led BUMN to achieve various goals with minimum accountability of their results. The research objective is to see whether the privatization of PT. Semen Padang can increase the economic growth and stability and reduce conflict of interests between the central government and the local government and the community in Padang. This research used the juridical normative method by carefully examining the relevant laws and regulations. The research concludes that the issue of spin-off PT. Semen Padang from PT. Semen Gresik raised by the local government and the community in Padang principally rooted in the issue of the domination of CEMEX as an international cement cartel and the unfair and nontransparent practices or alleged corruption, collusion, and nepotism (KKN) practices in the acquisition of PT. Semen Padang and the privatization of PT. Semen Gresik. There is a strong argument that pursuant to law the spin-off of PT. Semen Padang from PT. Semen Gresik may be executed, pursuant to Article 55 of Law on Limited Liability Companies (Law Number 40 0f 2007). Therefore, the demand to execute the spin-off does not violate the legal procedure nor does it contravene the law on limited liability companies and other laws and regulations.
