  • Chapter IV article 1 Independent Commissioner Manual structured by National Committee Corporate Governance Policy (KNKCG) confirm that Independent Commissioner posses primary responsibility to encourage Good Corporate Governance (GCG) principle application within company. In practice, however, in Indonesia, this responsibility remains unimplemented yet. Independent Commissioner existence is frequently simply as a complementation or decoration. Therefore, its concrete role within companies GCG implementation should be affirmed and definite. This research is normative, thought PT. Bank Permata Tbk., as a study case was established to sharpen the analysis. Independent Commissioner role within company GCG implementations include: 1) providing further objective and independent reviews particularly in decision making process by Board of Commissioners (BOC); 2) performing check and balance mechanism over BOC; and 3) to empower monitoring function and suggest recommendation by BOC toward Board of Directors (BOD) as being chief of Audit Committee over public company which operates in non-banking industry and as being chief of Audit Committee, Remuneration and Nomination Committee and Risk Monitoring Committee over public company which operates in banking industry. Solutions that being offer to handle issues above are: 1) to command the existence of Independent Commissioner within every Limited Corporation in Indonesia to implement GCG effectively; 2) to create evaluation mechanism over Commissioner works and contributions for company; and 3) it is required a special work unit in company to accommodate and distribute aspirations from various interest particularly minority shareholder and stakeholder interests in order to create strong objective climate and prioritizing equality and fairness within company.
