- The Indonesian Corporate Law No. 40, 2007, regulates that a business corporation (Perseroan Terbatas) has a legal entity as a corporate body (latin:persona moralis) and bears a legal attributes as as another distinct legal person; means that a corporation (P.T) has its rights and obligation like a natural person (human being); for example; it can own property in its own rights; it can sue or be sued and it is subject to tax liability. The legal standing of a corporate body as a "legal person" still need a continuous legal study and research, in fact taht the open and partial system in the private law can cause some legal problems. Therefore, in the eye of private law, the existence of this issue is the affirmation of its legal certainty.
