- This article enlightens concerning Business Corporation in Indonesian Iaw that's distinguished as Perseroan Terbatas as Limited Liability Company (PT). The PT that has been regulated since ancient Dutch Code of' Commerce regime's had been revised by Company Law (Law Number / year/995). The author emphasize regarding principle of the company's separate legal personality' to giving comparative as perspectives critical of Indonesian circumstances. This principle has been applied by court altogether in United States of America since Salomon Case’s. The pertaining of' principle is not partially affecting to holding company as personality subjects under company law and in many circumstances that legal personality of the company has been secondly points. Then this principle has grasped poverty and discriminations strong suits. Legal fiction's towards corporation as personality which is not independent has not banned through the staffs and directors from their liability toward mismanage practiced there
